Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ProjectSpace LLC ("ProjectSpace," "we," "us," or "our") governing your use of the ProjectSpace website and application ("Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts

• You must be at least 18 years old and capable of entering a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate and complete information when registering and keep it up to date.
• Notify us immediately at support@projectspace.com if you suspect unauthorized access to your account.
• One person or entity may not maintain more than one free account.

2. Subscriptions and Billing

• Paid plans are billed in advance on a monthly or annual basis depending on the plan you select.
• All payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.
• Subscription fees are non-refundable except as required by law or as expressly stated in our refund policy.
• We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new price.
• If a payment fails, your account may be downgraded or suspended. We will notify you by email before taking action.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload or transmit malicious code, viruses, or any software that could damage our systems or those of other users.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Scrape, crawl, or systematically extract data from the Service without our written permission.
• Resell or sublicense access to the Service without our written authorization.
• Use the Service to store or transmit content that is unlawful, defamatory, or infringes third-party intellectual property rights.
• Interfere with the integrity or performance of the Service for other users.

Violation of these rules may result in immediate suspension or termination of your account without refund.

4. Your Content

You retain ownership of all data, files, and content you upload or create within the Service ("Your Content"). By using the Service, you grant ProjectSpace a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content and represent that you have all rights necessary to upload it. We do not review user content but reserve the right to remove content that violates these Terms.

5. Intellectual Property

The Service, including its software, design, text, graphics, and other content, is owned by ProjectSpace LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled or emergency maintenance that temporarily limits access. We will provide advance notice of planned downtime where reasonably practicable.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECTSPACE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination before deleting it.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Ohio, and you consent to personal jurisdiction in those courts.

11. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
